The Indonesia Practice Group consists of a number of partners, including Shigeyuki Mito, Kiyomi Kikuchi and Hideaki Kurauchi, and associates working in Tokyo. All members handle various cases relating to Indonesia. Some members of the Indonesia Practice Group have experience practicing at law firms in Jakarta, and we expect to increase such opportunities further. We also regularly travel to Indonesia to provide services to our clients.
Thus far, Indonesia has restricted the entry of foreign law firms and does not allow the establishment of law firms solely by foreign attorneys. Therefore, in Indonesia, we provide services and support the needs of our clients, including local companies as well as local subsidiaries of Japanese companies, through our attorneys who are seconded to local law firms and reside in Jakarta. In addition, TMI constantly gathers and updates information relating to Indonesia through communications with local law firms and a wide network of local companies, such as member companies of Jakarta Japan Club (JJC) in Indonesia (an organization established to promote networking among local affiliates/subsidiaries of Japanese companies).
In Tokyo, TMI Associates is a corporate member of Japan Indonesia Association, Inc., where we also gather information and try to understand the needs of member companies who are conducting businesses in Indonesia.

Hideaki offers legal services regarding real properties, finance, trust and M&A. As for international issues, he has engaged in investment in and financing of real properties located in Japan from Thailand, the Philippines, Singapore and other countries as well as supports Japanese investors in investing in real properties located in Indonesia and other countries and international M&A.

The Indonesia Practice Group handles various matters including cases involving Japanese companies expanding their businesses into Indonesia as well as daily legal issues arising in Indonesia. Specifically, we provide services to support surveys regarding restrictions on business expansion, including the application of the so-called “negative list.” We also provide support for incorporating local subsidiaries and representative offices and negotiating wit h potential local partners when preparing joint-venture agreements. In addition, we can assist in the establishment of joint ventures, the acquisition of local companies, the procurement of, for instanc e, plant sites as well as the execution of cooperative agreements such as license agreements, dealership agreements, and franchise agreements with local companies, including joint venture companies. Furthermore, we offer support for the filing of variou s applications with supervising and competent authorities, as well for the establishment and revision of the working regulations of lo cal subsidiaries in Indonesia, confidentiality agreements, labor contracts and articles of incorporation. We can also handle general corporate legal matters, such as preparing necessary documents for genera l meetings of shareholders, and can undertake cases involving lab or disputes, as well as risk management cases involving the handling of inspections by tax offices and customs, among others. We also provide support for resolving legal disputes and can handle lawsuits and arbitration. In addition, the Indonesia Practice Group holds seminars on Indonesia Practice Group legal issues for companies and helps companies to understand the issues surrounding investing in Indonesia before they actually expand into the country by providing information and writing various articles and papers, not only for legal journals but also for general publifications on Indonesia.
