G-Next Case Involving Petition for Provisional Injunction Restraining Issuance of New Shares and Share Options (By Rimpei Kawaji and Ryohei Akizuki)
This article highlights a recent ruling by the Tokyo District Court in a case involving a petition to restrain a third-party allotment of shares and share options. Based on established judicial precedents, the court determined that the primary purpose of the allotment was capital raising, rather than the preservation of control over corporate management, and therefore dismissed the petition for a provisional injunction. The court found that the issuance of new shares and share options was not conducted in a “grossly unfair manner,” and this decision offers useful guidance for practitioners.
